If you do not agree to these Terms, you should not use or access this Site. Winedrops reserves the right to revise these Terms at any time by updating this posting, provided that any changes will not apply to orders which have already been placed and acknowledged by Winedrops before the change is made. You are encouraged to review these Terms each time you use the Site, as your continued use after any changes are posted constitutes your acceptance of those changes.

By agreeing to these Terms, you also agree to the Site Privacy Policy, which is incorporated herein by reference.

Price information found on this Site is subject to change without notice. We grant you a personal, limited, non-transferable, non-exclusive license to access and use the Site. We reserve the right, in our sole discretion and without notice to you, to revise the products and services available on the Site and to change, suspend, or discontinue any aspect of the Site, and we will not be liable to you or to any third party for doing so. We may also impose rules for and limits on use of the Site or restrict your access to part, or all, of the Site without notice or penalty. Your continued use of the Site will constitute your acceptance of any such changes.

1. Use of the Site

You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the content, in whole or in part, found on the Site.

We require all members to agree not to use the Site, and specifically prohibit any use of the Site, for any of the following purposes:

  • Posting, communicating, or transmitting any material that infringes on any intellectual property, publicity, or privacy right of another person or entity.
  • Posting any information which is untrue, inaccurate, defamatory, derogatory, fraudulent, abusive, hateful, misleading, malicious, offensive, harassing, threatening, racist, obscene, vulgar, indecent, pornographic, or of a sexual nature.
  • Engaging in conduct that would constitute a criminal offence or give rise to civil liability or otherwise violate any applicable law or regulation.
  • Attempting to interfere in any way with the Site’s or Winedrops’s network security, or attempting to use the Site to gain unauthorised access to any other computer system.
  • Using spiders, robots, data mining techniques, or other automated devices or programs to catalogue, download, or otherwise reproduce, store, or distribute content available on the Site, or to manipulate the Site.
  • Taking any action to interfere with, or disrupt, the Site or any other user’s use of the Site, including by overloading, flooding, mailbombing, or crashing the Site, or circumventing security or user authentication measures.
  • Framing any portion of the Site within another website, or reselling use of, or access to, the Site to any third party without our prior written consent.

2. Registration and Passwords

To access certain services on the Site, you will be required to register and provide specific information. All information you provide must be truthful, accurate, and current. You may not use any aliases or other means to mask your true identity.

You are responsible for maintaining the confidentiality and security of your account credentials. You are solely liable for any use or unauthorised use of your account. We may suspend or terminate your access at any time, with or without notice.

3. Additional Terms and Conditions

You agree that additional terms and conditions may apply to specific products, orders, or your use of certain portions of the Site, including with respect to the Privacy Policy.

4. Your Personal Information

We are committed to protecting the information we receive from you. We follow reasonable technical and management practices to help protect the confidentiality, security, and integrity of data stored on our systems. We will not sell, distribute, or lease your personal information to third parties unless we have your permission or are required by law to do so. For more information, please refer to our Privacy Policy.

5. Membership

The Site is available to registered users who are eighteen (18) years of age or older and who have not been suspended or removed by Winedrops for any reason.

Winedrops provides a digital membership service that gives members access to exclusive wine offers, discounts, events, and educational content. Physical wines are sold separately or included as introductory benefits; the primary product purchased is digital membership access.

We reserve the right to revoke your membership at any time, including as a result of a violation of these Terms or the Privacy Policy. Where we revoke your membership, this will not affect current orders which we have acknowledged unless we revoke as a result of your breach of these Terms or the Privacy Policy, in which case we may terminate all existing orders and will not be obliged to make any refund of amounts paid for those orders.

Wine you have already paid for is not affected by this. Wine you have purchased belongs to you (Section 14.1). If we revoke your membership for any reason, including breach, we will either deliver your stored wine to you or cancel the sale of that wine and refund you in full as Storage Credit at 100% of the price you paid, in accordance with Sections 14.7 to 14.15. Nothing in this Section 5 entitles us to keep wine you have paid for without refunding you for it.

In the event that we revoke your subscription membership, you will be reimbursed any subscription fees on a pro rata basis. Membership is void where prohibited by law.

5.1 Membership Pricing and Renewal

Your membership begins immediately upon purchase, including during any free trial period. After your trial ends, your membership renews automatically at £119.99 per year, billed annually, unless cancelled before renewal. We will send a renewal reminder at least seven (7) days before the renewal date.

5.2 Membership Refunds

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you normally have a 14-day right to cancel. However, because Winedrops membership provides immediate access to digital content and services upon purchase, by completing your order you agreed that the service begins immediately and that you lose your 14-day right to cancel once access starts.

We instead offer a 48-hour grace period from the time of billing during which you may request a full refund of your membership fee. This applies to all billing events, including trial conversions and annual renewals.

How it works:

  1. You have 48 hours from the time of purchase or renewal to request a refund.
  2. Your membership is cancelled and your access ends when the refund is issued.
  3. Refunds typically appear within 5–7 business days.

Within the 48-hour window we will not ask you for a reason. However, a refund may not be available if you have already redeemed a member-exclusive offer or placed an order using your membership benefits during that period; in that case we will contact you to discuss your options.

After 48 hours, refunds of the membership fee are not available, but you will retain access until the end of your current billing period.

Any wine you have already purchased remains your property and is dealt with under Section 14. If your membership is refunded, the cancellation timeline in Section 14.8 applies to your stored wine from the date the refund is issued.

To request a refund, visit https://members.winedrops.com/account/refunds and follow the steps. If there is a genuine issue, please contact us at help@winedrops.co.uk and we will review your case.

5.3 Cancellation

You may cancel your membership at any time during your trial or before renewal by visiting members.winedrops.com or emailing help@winedrops.co.uk.

Your cancellation takes effect immediately. You will continue to have access to member benefits until the end of your current billing period, and you will not be charged again.

Because your membership is ending, the timeline for stored wine in Section 14.8 begins on the date you cancel, not at the end of your billing period. We will tell you this in the notice we send you on the day you cancel, and you can stop the process at any point before the date in that notice by requesting delivery of your wine (Section 14.11).

5.4 Free Trial Period

If you are on a free trial, you must cancel your membership before the indicated trial end date if you do not wish to become a paying member. This can be done within the profile section of the app or by emailing help@winedrops.co.uk. If you do not cancel before the trial ends, your membership fee will be charged and the 48-hour refund grace period described in Section 5.2 will apply.

6. Orders and Contracts

Winedrops Membership Packages (“Memberships”) may be applied for by filling out the form on our homepage. Users holding Memberships will then be invited to place orders. All orders are subject to acceptance by Winedrops. Winedrops is not obliged to accept any order and may, in its sole discretion, decline to accept any order for any reason.

Where Winedrops accepts your order, we will confirm such acceptance by sending you a confirmation email. By purchasing a Winedrops Membership, you acknowledge that your Membership has an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation. Your subscription will be automatically extended for successive periods at the original subscription rate. To cancel your subscription at any time, please visit members.winedrops.com or email help@winedrops.co.uk. Membership is void where prohibited by law.

7. Returns and Refunds Policy

We want you to be completely satisfied with your purchase. This policy outlines your right to return products, whether you have changed your mind or if there is an issue with the wine.

7.1 Your Right to Change Your Mind (Cooling-Off Period)

In accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel your contract with us and return any wine products for a full refund within fourteen (14) days of the delivery date, for any reason. Where wine is being stored for you and has not yet been dispatched, this 14-day period runs from the date of delivery, so your right to cancel remains available for as long as the wine is in storage and for 14 days after it reaches you.

To be eligible for a return under this policy:

  • You must notify us of your decision to cancel within 14 days of receiving your order.
  • The wine bottle(s) must be unopened, with all seals intact, and in the original packaging.

To initiate a return, please contact us at help@winedrops.co.uk with your order number. You are responsible for the cost of return shipping, and we recommend using a tracked service as you are responsible for the goods until they arrive back with us. Once we receive and inspect the returned items, we will issue a full refund to your original payment method, including the cost of our standard outbound delivery, within 14 days.

7.2 Damaged or Faulty Wine (Our Quality Guarantee)

We stand by the quality of our wines. If you receive a bottle that is damaged, broken, or you believe to be faulty (e.g., corked or oxidised), please follow the process below.

Broken in Transit: If your order arrives with clear signs of damage or breakage, please contact us at help@winedrops.co.uk within 48 hours of delivery, ideally with a photograph of the damaged items. We will arrange for a replacement or issue store credit for the value of the bottle.

Faulty Wine: If you open a bottle and believe it to be faulty (e.g., corked or oxidised), please contact us within 30 days of delivery. We may ask you to return the bottle for inspection. If we agree the wine is faulty, we will offer a replacement or issue store credit.

Nothing in this Section 7.2 affects your statutory rights under the Consumer Rights Act 2015, including your right to a refund where goods are not of satisfactory quality.

7.3 How to Initiate a Return

  1. Contact Us: Email help@winedrops.co.uk with your order number and the reason for your return.
  2. State the Reason: Clearly state whether you are returning under the 14-day cooling-off period or because the product is faulty or damaged.
  3. Follow Instructions: We will provide you with the return address and any further instructions.

7.4 Exclusions

This returns policy does not apply to any bottles that have been opened, consumed, or have had their seals broken, unless the wine is deemed to be faulty as described in Section 7.2.

8. Proprietary Rights

You acknowledge and agree that the content (other than content that may be submitted by members), materials, text, images, videos, graphics, trademarks, logos, button icons, music, software, and other elements available on the Site are the property of Winedrops or our partners and are protected by copyright, trademark, and/or other proprietary rights and laws.

You agree not to sell, license, rent, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, modify, or create derivative works from any content or materials on the Site. Winedrops and the Winedrops logo are trademarks of Banquist Limited. All other trademarks are the property of their respective owners. All rights not expressly granted under these Terms are reserved by Winedrops and its affiliates.

9. Submitted Content

By submitting or posting any materials or content on the Site, you grant Winedrops a perpetual, irrevocable, non-terminable, worldwide, royalty-free, and non-exclusive licence to use, copy, distribute, publicly display, modify, create derivative works from, and sublicence such materials on our websites, apps, and in any other materials or media. This means, for example, that we can continue to use and display that content even if you ask us to remove it or after your registration or subscription has ended. If you do not want to grant Winedrops the rights set out in this paragraph, please do not submit your content to us.

You confirm that any materials you provide do not include anything to which you do not have the full right to grant the licence specified above. You also confirm that any materials you provide will not contain libellous or otherwise unlawful, abusive, or obscene material. Winedrops will be entitled to use any content submitted by you without incurring obligations of confidentiality, attribution, or payment to you. To the extent permitted by applicable law, you agree to waive all moral rights in any content that you post or send whilst using the services, including the right to be identified as the author of such content.

Winedrops reserves the right to use content that you post to social media that specifically concerns or references Winedrops, its partners, and the products it offers. This content may be shared by Winedrops on its own social media properties, with third parties, and on the Site.

10. Disclaimers

Winedrops is not responsible if you cannot access the Site properly or at all because your ISP connection, the internet generally, or your browser software is inadequate or functioning poorly. Furthermore, Winedrops is not liable if your ISP suspends or terminates their service to you, or because of any other event outside of Winedrops’s control. If you cannot access the Site for any of these reasons, Winedrops will not refund any money you have paid or provide compensation.

To ensure the Site remains enjoyable, Winedrops needs to fix bugs, install updates, and perform general diagnosis and maintenance. Winedrops will endeavour to perform scheduled maintenance during periods of anticipated low online usage. Winedrops also reserves the right to perform emergency maintenance or suspend access to servers where, in Winedrops’s reasonable discretion, it is deemed necessary. Winedrops will aim to restore Site availability as soon as it is determined safe to do so.

The Site relies on software to function. As all software is subject to bugs, Winedrops will monitor the Site and attempt to fix reported issues, but Winedrops cannot guarantee that the Site will be entirely bug-free or operational at all times. It is not a condition of these Terms that the Site, or any specific feature thereof, will always be available, error-free, or free from viruses.

Where the Site contains links to other websites and third-party products or services, these links are provided for your information only. Winedrops is not responsible for the content, products, or services found on these external sites.

11. Indemnification

You agree to indemnify Winedrops and its group companies against all liabilities and the reasonable costs (including reasonable legal fees) sustained or incurred as a result of content posted to the Site by you being in violation of these Terms and/or Winedrops’s Review Guidelines.

12. Limitation of Liability

Winedrops excludes: (a) any responsibility for or liability arising out of any dealings you have with third parties that take place using or facilitated by the Site; and (b) any liability for losses which are not a foreseeable or likely consequence of your use of the Site, or of a breach of these Terms. Losses are foreseeable where they could be contemplated by you and Winedrops at the start of your membership.

Winedrops will not be liable to you over the entire period of your use of the Site for any loss in excess of the higher of: (a) the total value of products or subscriptions ordered by you via the Site; and (b) £250.

This cap does not apply to, and does not limit, our obligation to deliver wine you have purchased or to refund you Storage Credit under Section 14.

Nothing in these Terms will affect any liability we may have for: (a) death or personal injury arising from our negligence; (b) fraudulent misrepresentation; (c) breach of any obligations implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982; or (d) any other liability that cannot by law be excluded or limited.

Winedrops specifically prohibits the posting of any content that violates or infringes the copyright or other intellectual property rights (including rights of privacy and publicity) of any person or entity. If you believe that any material on this Site infringes your copyright or other intellectual property rights, you should notify us at help@winedrops.co.uk.

14. Rules for Purchasing and Storing Wine

14.1 Transfer of Ownership

When you purchase wine through Winedrops, ownership and title to the wine transfers to you immediately upon completion of payment, regardless of whether you choose immediate delivery or storage with us.

Title to wine held in storage may return to us only where the sale of that wine is cancelled and refunded to you in full under Sections 14.7 to 14.15.

14.2 Storage Service

Wine purchased through Winedrops is stored free of charge at our warehouse while your membership is active. We encourage members to request delivery regularly. By using this storage service, you explicitly request that we hold your purchased wine — which is your property — in our warehouse until you request delivery.

Storage is intended to be temporary. If you stop ordering, or your membership is paused, lapses or is cancelled, we may cancel the sale of your stored wine and refund you in full as store credit, after giving you the notice set out in Section 14.9. Sections 14.7 to 14.15 explain exactly how this works, how much notice you get, and how you can stop it.

We will never take back, reclaim, or return to general inventory any wine you have paid for without cancelling the sale and refunding you the full amount you paid.

14.3 Identification of Your Wine

All wines stored under this arrangement are identified in our inventory management system as your property, with a unique customer reference number. These wines are digitally allocated to your account and are not available for sale to other customers.

14.4 Risk and Insurance

The risk of loss or damage transfers to you upon purchase. However, Winedrops provides insurance coverage for your stored wines as a courtesy. In the event of damage, theft, or loss while in our care, we will replace the wine with an identical bottle or, if unavailable, a wine of equal or greater value.

This arrangement continues for as long as your wine is in our storage, and ends only when the wine is dispatched to you or when the sale is cancelled under Sections 14.7 to 14.15.

14.5 Access to Your Wine

You may request delivery of your stored wines at any time through your account, even before accumulating a full case, subject to our standard delivery terms. Requesting delivery will always stop a cancellation under Section 14.11.

14.6 No Right of Substitution

Once wine has been purchased and allocated to your storage, Winedrops will not substitute those specific bottles or reallocate them to another customer. The specific bottles you purchase are reserved exclusively for you, unless and until the sale of those bottles is cancelled and refunded to you in accordance with Sections 14.7 to 14.15.

14.7 Cancellation of Sale and Storage Credit

Wine you have paid for is yours. We will not take it back without refunding you in full.

If your wine has been sitting in our storage undelivered and your account has gone quiet, or your membership is paused, lapsed or cancelled, we may cancel the sale of that wine and refund you. If we do:

  • we refund you Storage Credit equal to 100% of the total amount you paid for that wine, including VAT and any delivery charge you paid on it;
  • the original sale is cancelled, and title to the wine returns to us at the moment the Storage Credit is applied to your account, and not before; and
  • you will have received three separate notices beforehand, and you can stop the cancellation at any time up to the date we gave you.

In this Section 14:

  • “Stored Wine” means wine you have purchased which is held in our storage and has not yet been dispatched to you.
  • “Warning Notice” means the first notice we send you telling you that the sale of your Stored Wine is due to be cancelled.
  • “Cancellation Date” means the date stated in your Warning Notice on which the sale will be cancelled.
  • “Storage Credit” means the store credit we refund to you for your Stored Wine.
  • “Qualifying Activity” means placing any order with us, requesting delivery of any stored wine, or resuming or reactivating a paused, lapsed or cancelled membership.

By purchasing wine and asking us to store it rather than dispatch it, you agree that we may cancel that sale and refund you on the terms set out in Sections 14.7 to 14.15.

14.8 When a cancellation can happen

The timeline depends on the status of your membership:

  • Active membership with no Qualifying Activity for 60 consecutive days. We send your Warning Notice on day 60. The Cancellation Date is day 120 — 60 days after the Warning Notice.
  • Membership paused, or membership payments have lapsed. We send your Warning Notice on the date of the pause or lapse. The Cancellation Date is 30 days after the Warning Notice.
  • Membership cancelled, or membership fee refunded under Section 5.2. We send your Warning Notice on the date you cancel, or the date the refund is issued. The Cancellation Date is 14 days after the Warning Notice.

In every case, the Cancellation Date will be at least fourteen (14) days after the date we send your Warning Notice.

If more than one of these situations applies to you, the later Cancellation Date is the one that applies.

14.9 Notices we will send you

Before any cancellation takes place, we will send you three notices. Each is sent both by email, to the address registered on your account, and by push notification, if you have our app installed with notifications enabled:

  1. Warning Notice — sent on the date shown in Section 14.8.
  2. Reminder — sent seven (7) days before the Cancellation Date.
  3. Final Reminder — sent one (1) day before the Cancellation Date.

Each of these notices will tell you:

  • which bottles are affected;
  • the amount of Storage Credit you will receive;
  • the Cancellation Date;
  • the date your Storage Credit will expire (see Section 14.12); and
  • what you need to do to stop the cancellation.

These are service messages about your account and your property, not marketing. You will receive them whether or not you have opted out of our marketing communications.

Please keep the email address on your account up to date, as this is how we will contact you.

14.10 The Cancellation Date we tell you is the date we honour

The Cancellation Date stated in your Warning Notice is binding on us.

We may extend it, and we will tell you if we do. We will never bring a Cancellation Date forward, and we will never cancel the sale of your wine earlier than the date we told you, even if these Terms change in the meantime.

14.11 How to stop a cancellation

You can stop a cancellation at any time before the Cancellation Date by taking any Qualifying Activity: placing an order, requesting delivery of your stored wine, or resuming or reactivating your membership.

You can also simply email us at help@winedrops.co.uk and ask for more time. We will grant a reasonable extension.

If you do any of these things, the cancellation is stopped in full, no further reminders will be sent, and any timeline under Section 14.8 starts again from the beginning.

14.12 Storage Credit

Storage Credit is store credit, and Section 16 applies to it, with the following additions and exceptions:

  • It is refunded at 100% of the total amount you paid for the wine, including VAT and any delivery charge paid on it.
  • It is applied to your account on the Cancellation Date and will be visible in your account immediately.
  • It is valid for ninety (90) days from the date it is issued. The 30-day expiry period in Section 16(a) does not apply to Storage Credit.
  • The expiry date will be stated in every notice we send you under Section 14.9.
  • If your Storage Credit expires before you have used it, contact us at help@winedrops.co.uk and we will consider reinstating it on a case-by-case basis.

14.13 Gold Members

Gold members benefit from complimentary storage for up to one hundred (100) bottles, and no cancellation timeline runs against those bottles for as long as the Gold membership remains active.

Bottles held above the 100-bottle allowance are subject to the process in Sections 14.7 to 14.12 in the normal way, and the timelines in Section 14.8 apply to them.

If a Gold membership is downgraded or cancelled, the applicable timeline in Section 14.8 begins to run from the date of that downgrade or cancellation.

14.14 If we end your membership

If we revoke or suspend your membership under Section 5, including for breach of these Terms, we will contact you to arrange delivery of your stored wine. If you do not arrange delivery, we will cancel the sale and refund you as Storage Credit at 100% of the amount you paid, in accordance with Sections 14.7 to 14.12, and the fourteen (14) day timeline for cancelled memberships applies from the date we notify you.

14.15 Transitional arrangements

The process in Sections 14.7 to 14.14 applies to wine purchased on or after 26 August 2026.

For wine purchased before that date, we will write to you at least thirty (30) days before the scheme begins to apply to your stored wine, and no Cancellation Date for that wine will fall earlier than sixty (60) days after the date of that letter.

15. Introductory Offers

From time to time, Winedrops may offer introductory promotions (such as a complimentary or discounted bottle) to new members. These offers are limited to one per new member and are subject to any additional terms specified at the time of the offer.

Where an introductory offer bottle is dispatched on its own, we are required to comply with Scotland’s Minimum Unit Pricing legislation (currently 50 pence per unit). This may result in an additional charge to meet the minimum pricing threshold.

16. Store Credit

All store credit issued by Winedrops, whether from returns, promotions, or the cancellation process in Section 14, is subject to the following terms:

  1. Store credit must be used within thirty (30) days of issuance, unless a longer period is specified when it is issued. Storage Credit issued under Section 14.12 is valid for ninety (90) days from the date of issue.
  2. Store credit cannot be exchanged for cash or transferred to another account.
  3. Store credit can only be used for the purchase of products from Winedrops.
  4. We will tell you the expiry date of any store credit at the time it is issued, and it will be shown in your account.
  5. VAT on any purchase you make using store credit is calculated on the full price of the products supplied, in accordance with applicable VAT rules. Store credit is treated as payment towards that purchase.

17. Digital Content and Cooling-Off Period

The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 treat digital content differently from physical goods. As our membership service provides access to digital content that is available immediately, you acknowledge that by completing your purchase you consent to the service beginning immediately and that you lose your 14-day right to cancel in respect of the digital membership content. The 48-hour grace period described in Section 5.2 applies instead.

This does not affect your rights in relation to any wine you purchase, which are set out in Sections 7 and 14.

18. Raffles

  1. The cost of each ticket entry may vary depending on the prize. Payment to enter the raffle must be made in advance of the draw date. Any payment received after the draw date will be refunded.
  2. No tickets may be sold to, on behalf of, or for a person under the age of eighteen (18). Winedrops reserves the right to carry out age verification checks.
  3. If a ticket is sold unknowingly to, on behalf of, or for a person under the age of 18, that person will be excluded from the raffle and will forfeit any prize; the stake will be returned.
  4. Only Winedrops members on Mainland UK are eligible for entry. Any entries made by persons outside of this designation will forfeit the prize and the stake will be returned.
  5. Free entry by post: To enter any competition for free, you must be a Winedrops member. Send your full name, postal address, date of birth, email address, and contact telephone number by post to Winedrops, Bk 311 Cremer Street, Brickfields, London, England, E2 8HD, specifying the competition you wish to enter. First or second-class postage must be paid. Postal entries are limited to one entry per person per competition. Multiple entries from persons living in the same household are accepted up to the maximum order for that promotion, but each entry must be sent separately.
  6. The winner is announced via video where all Winedrops members can see the full names of raffle participants. By purchasing a raffle ticket, you acknowledge that your full name will be made visible on the video where the winner is picked.
  7. By purchasing a raffle ticket, you grant Winedrops permission to take photographs and videos of you for our public social media if you win.

19. Sweepstakes

From time to time, Winedrops may run promotional sweepstakes. Each sweepstake will be governed by its own Official Rules, which will be published at the time of the promotion. In the event of a conflict between these Terms and the Official Rules of a specific sweepstake, the Official Rules shall prevail with respect to that sweepstake.

General sweepstake provisions:

  • Sweepstakes are open to all UK residents (including Northern Ireland) over 18 years of age with an active Winedrops membership, unless otherwise stated in the Official Rules.
  • Employees of the promoter and its affiliates directly connected with the administration of the sweepstake are excluded.
  • Winners will be selected by random computer-automated system.
  • Winners must respond within 24 hours of notification or the prize may be forfeited and a new winner selected.
  • By entering, you agree that if you win, Winedrops may use your name, photograph, county of residence, and testimonial for promotional purposes.
  • Sweepstakes are governed by the laws of England and Wales.

20. Severability

If any part of these Terms is held or declared to be invalid or unenforceable by any court of competent jurisdiction, such provision shall be ineffective to the extent of such invalidity or unenforceability, but shall not affect any other part of these Terms.

21. Waiver; Remedies; Entire Agreement

The failure of Winedrops to exercise any right or remedy under these Terms shall not constitute a waiver of such right or remedy. The rights and remedies of Winedrops under these Terms shall be cumulative and the exercise of any such right or remedy shall not limit Winedrops’s right to exercise any other right or remedy. These Terms may not be varied except with our express written consent. These Terms, together with our Privacy Policy and any document expressly referred to herein, constitute the entire agreement between you and Winedrops in relation to your use of the Site.

22. Governing Law

The operation of our Site and contracts for the purchase of goods through our Site are governed by English law. Any dispute arising from, or related to, such contracts shall be subject to the non-exclusive jurisdiction of the courts of England and Wales.
